The terms that govern your use of Keepable.

Terms of Service

Effective 1 July 2026. These Terms govern your use of Keepable, the digital mailbox service operated by Ciphersec Limited, a company incorporated in the Federal Republic of Nigeria. By creating a Keepable mailbox or signing in, you agree to be bound by these Terms.

1. The service

Keepable is a digital mailbox. Companies (we call them “senders”) deliver bills, statements, agreements, and other documents to a recipient mailbox at app.keepable.co. Recipients can read, sign, download, and verify those documents from any device. Senders integrate through sender.keepable.co and the public API at api.keepable.co.

These Terms apply to anyone using a recipient mailbox. If you are using Keepable on behalf of a company as a sender, your use is governed by the Sender Agreement and our Data Processing Addendum.

2. Who can use Keepable

You must be at least 18 years old and capable of entering a binding contract under Nigerian law. A mailbox belongs to a single individual. You are responsible for everything that happens under your mailbox, including any sign-ins, signatures, or downloads.

You verify your identity through an accredited identity-verification provider and your mailbox is linked to a Nigerian National Identification Number (NIN). This is how we make sure a document reaches the right person and that a signature is genuinely yours.

3. How you sign in

Keepable uses passkeys (WebAuthn) as the primary credential. We do not use SMS one-time passwords. Keep your devices secure. If you lose access to all of your passkeys, account recovery repeats identity verification and a liveness prompt, then requires you to enrol a new passkey. A NIN alone cannot recover a mailbox.

4. Acceptable use

When you use Keepable, you agree not to:

  • impersonate another person or misrepresent your identity;
  • upload, send, or sign content that is unlawful, fraudulent, defamatory, infringes someone else’s rights, or constitutes harassment or doxxing;
  • use the service to send unsolicited bulk messages or spam;
  • attempt to break, probe, or circumvent the security of the service, the integrity of the audit trail, or the document seal;
  • scrape, resell, or sublicense the service without our written permission;
  • use Keepable to process card data, protected health information, or other data that requires a regulatory regime we do not support.

We may suspend or close a mailbox that violates this section or applicable Nigerian law. Where it is safe and lawful to do so, we will give you notice and an opportunity to respond.

5. Signatures and the document seal

When you sign a document inside Keepable, the completed agreement is returned to you as a covenant: a PDF carrying an embedded advanced electronic signature (PAdES) and a trusted timestamp, so the signed original can be verified on its own, independently of Keepable. We also record the signing events in a tamper-evident audit log, intended to be admissible under section 93 of the Nigerian Evidence Act. Every document delivered to your mailbox is additionally sealed with a cryptographic seal issued by AWS Key Management Service and bound to that audit log. You can verify a downloaded document at any time using the public verifier on this site.

You are responsible for reviewing every document before you sign it. A signature applied through Keepable carries the same legal weight as a handwritten signature where the law permits electronic signing.

6. Your content

You retain ownership of the documents in your mailbox. You grant Keepable a limited licence to host, transmit, encrypt, scan for malware, and process those documents only as needed to operate the service and meet our obligations under these Terms and the Privacy Notice.

Senders own the documents they deliver to you, subject to whatever rights you have in those documents as the recipient. Where a sender delivers a document on behalf of a controller under our Data Processing Addendum, that DPA governs how Keepable handles it as a processor.

7. Intellectual property

The Keepable name, logo, and the software, designs, and content we publish remain the property of Ciphersec Limited or our licensors. Nothing in these Terms transfers any of those rights to you. You may not copy, modify, or redistribute the service except as expressly permitted.

8. Service availability

We work hard to keep Keepable available, but we do not guarantee uninterrupted service. We may carry out planned maintenance, ship changes, or take parts of the service offline temporarily. We will give reasonable notice where we can.

9. Closing your mailbox

You can close your mailbox at any time from the app. Closure removes your identifying data from active systems on the timetable described in the Privacy Notice, subject to statutory retention floors for evidence in signed documents and our audit trail. We may close a mailbox for breach of these Terms or where we are required to do so by law.

10. No warranty; limitation of liability

Keepable is provided on an “as is” and “as available” basis. To the maximum extent permitted by Nigerian law, we exclude all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by Nigerian law, Keepable will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, even if we have been advised of the possibility. Our total aggregate liability arising out of or relating to these Terms is limited to the greater of (a) the fees you paid us in the twelve months before the event giving rise to the claim, or (b) NGN 50,000.

Nothing in these Terms limits liability that cannot be limited under Nigerian law, including liability for fraud or wilful misconduct.

11. Indemnity

You agree to indemnify Keepable against third-party claims arising out of your breach of these Terms, your misuse of the service, or content you upload or sign through your mailbox.

12. Changes to these Terms

We may update these Terms. When we make a material change we will notify you in the app or by email at least 14 days before it takes effect. Continued use of the service after the effective date means you accept the updated Terms.

13. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. You and Keepable will try in good faith to resolve any dispute through direct discussion first. If that fails, the dispute will be resolved by arbitration under the Arbitration and Mediation Act 2023, seated in Lagos, conducted in English by a single arbitrator. Either party may still apply to a Nigerian court for injunctive relief.
